Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at satex.com, the Satex mobile application, and related services (together, the "Platform") operated by SATEX TECH INC ("Satex," "we," "us," or "our"). Please read these Terms carefully. By creating an account, scheduling a visit, or completing a payment, you agree to be bound by these Terms.
1. Definitions
" Platform " / " Satex " means the technology platform, including the satex.com website and the Satex mobile application, operated by SATEX TECH INC. Satex is a software and marketplace platform that connects Patients with independent licensed medical practices. Satex does not provide medical care and does not sell, prescribe, or dispense medications.
" Provider " means the independent, licensed medical practice (for example, a professional corporation or licensed medical entity) that uses the Platform to offer and deliver clinical Services to Patients. The Provider is the merchant of record for the clinical Services and is solely responsible for the medical care delivered. Where these Terms refer to clinical judgment, that judgment is exercised by the licensed personnel of the Provider (the supervising physician and the administering Registered Nurse), but the contracting and merchant-of-record party is the Provider practice itself.
" Care Team " means the licensed personnel engaged by the Provider. Services are administered by a licensed Registered Nurse (RN) under the supervision and standing orders of a licensed physician. The Care Team are the people who deliver care; they are not the merchant of record.
" Patient " / " User " / " you " means any person who creates an account, books a visit, or otherwise uses the Platform, and the person who receives the Services.
" Services " means on-demand, at-home intravenous (IV) hydration and vitamin wellness therapy offered by the Provider and facilitated through the Platform, as described in Section 2.
" Stripe " means Stripe, Inc., the third-party payment processor that processes card payments through Stripe Connect.
2. Description of the Services
Satex operates a technology platform through which Patients can request, schedule, and pay for on-demand, at-home IV hydration and vitamin wellness therapy delivered by an independent licensed Provider.
The Services are intended for general wellness, hydration, and supplementation. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
The Services are administered in your home or another agreed location by a licensed Registered Nurse (RN) under the supervision and standing orders of a licensed physician.
The Services are currently available only in New York and Florida. Availability is limited to specific service areas within those states and may change.
Satex is pre-launch. Features, pricing, availability, and these Terms may change before and after general availability.
Satex is not an online pharmacy and does not sell prescription drugs directly to consumers. Any product or therapy is provided by, and at the clinical discretion of, the licensed Provider.
3. Platform / Marketplace Structure
Satex provides a technology platform only. We facilitate scheduling, communications, and payment processing between you and an independent Provider. We do not employ the Care Team, do not control the clinical judgment of the Provider, and do not provide medical services.
The independent licensed medical practice (the Provider) is the merchant of record for all clinical Services. The Provider is solely responsible for the medical assessment, the decision to provide or decline Services, dosing, administration, and the quality and safety of the care delivered.
Satex is compensated by the Provider, not by you. The Provider pays Satex a periodic software fee for the use of the Platform under a separate agreement between Satex and the Provider. That fee is billed to the Provider outside of your payment. You do not pay any separate fee to Satex, and Satex takes no portion of your payment.
The relationship between you and the Provider for clinical care is directly between you and the Provider. Satex is not a party to the provider-patient relationship and does not practice medicine or nursing.
Card payments for the Services are processed by Stripe through Stripe Connect and settle directly to the Provider's own Stripe account as merchant of record. Satex does not hold, process, or distribute your funds. See Section 7.
4. Eligibility, Medical Screening, Informed Consent, and Right to Decline
You must be at least 18 years of age (or the age of majority in your state) and able to enter into a binding contract to use the Platform. The Services are intended for adults; the account holder and the person receiving the Services must be at least 18. The Platform is not directed to, and the Services are not offered to, minors. (See the Privacy Policy, Section 11 , for the children's-privacy position, which is stated identically.)
You must be physically located within an available service area in New York or Florida at the time of the visit.
Every Patient is screened and medically assessed by the Provider's licensed personnel before any infusion. The Provider, not the Patient, determines eligibility, suitability, and dosing based on that assessment.
Informed consent. As part of the assessment and before any infusion is administered, the Provider obtains the Patient's informed consent, including a discussion of the nature of the Services, material risks (see Section 9), and reasonable alternatives. The infusion is administered only after the Patient gives informed consent.
You agree to provide accurate, complete, and current health and personal information. The safety of the Services depends on the accuracy of the information you provide.
The Provider may decline, modify, pause, or stop the Services at any time if, in the Provider's clinical judgment, the Services are not appropriate or safe for you, or if you do not meet eligibility criteria. If you are screened out for safety reasons, you will not be charged, or will be refunded if a payment was already captured, as described in Section 8.
You may not select or demand a specific dosage or formulation. What is offered and administered is determined by the Provider's clinical assessment.
5. Accounts and Communications
To use certain features you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate registration information and to keep it up to date.
SMS and messaging consent. SMS and messaging consent is governed by our separate SMS / Communications policy, which is incorporated by reference. At the point of opt-in, that policy states the types of messages you may receive (for example, appointment confirmations, reminders, and account or service notifications); that message frequency varies; that message and data rates may apply; that you may reply STOP to opt out and HELP for help; and it links to this Terms of Service and to the Privacy Policy . By providing your mobile number and opting in, you consent to receive those messages.
6. SMS
By providing your mobile phone number and opting in, you agree to receive SMS and text messages from Satex (SATEX TECH INC) at the number you provide.
Program and message types. Messages may include appointment confirmations, scheduling and reminder messages, and account or service notifications. Where you separately consent, you may also receive promotional messages.
Message frequency. Message frequency varies based on your activity and your appointments.
Cost. Message and data rates may apply, according to your mobile plan.
How to opt out. You can cancel at any time by replying STOP to any message. After you reply STOP, we will send one confirmation message and then stop sending SMS messages.
Help. Reply HELP for help, or contact us at hi@satex.com .
Carriers. Mobile carriers are not liable for delayed or undelivered messages.
Privacy. Your information is handled under our Privacy Policy . We do not share your mobile opt-in consent or your phone number with third parties for their own marketing purposes.
7. Payments
Payments and booking become available at launch. The Platform is currently pre-launch, and the following payment terms apply once the service is live.
All prices are stated and charged in United States Dollars (USD).
Charges consist of the amount for the clinical Services set by the Provider (merchant of record). Applicable taxes and surcharges may be added. You are not charged any separate Satex fee: Satex is paid by the Provider under a separate agreement, outside of your payment.
Pricing for the Services is presented to you on the Platform before you confirm your booking. By confirming a booking and completing checkout, you authorize the applicable charges.
Card payments are processed by Stripe through Stripe Connect using direct charges: your payment is made directly to the Provider's own Stripe account, and the Provider, as merchant of record, receives the full amount. Satex does not hold, process, or distribute your funds and takes no portion of your payment through Stripe. The Provider compensates its Care Team outside of Stripe and pays Satex a software fee outside of your payment.
The name shown on your card or bank statement (the statement descriptor) will reflect the Provider practice — the merchant of record — as configured with Stripe.
Authorization and charge timing. By submitting payment information, you represent that you are authorized to use the payment method, and you authorize the charge for the total amount disclosed at checkout. When you confirm a booking, your card is authorized (a hold is placed) for that amount — the funds are reserved, not yet charged. You are charged (the payment is captured) only after the visit is completed. If the visit does not proceed — for example, you cancel within the allowed window, or you are screened out for safety reasons — the hold is released and no charge is made. For visits booked far in advance, the hold may instead be placed on your saved payment method closer to the visit date, as disclosed at checkout. Amounts already captured that later become refundable are returned to you as a refund under Section 8.
8. Cancellation & Refund Policy
We aim to make cancellations and refunds clear and fair. Because your payment is made directly to the Provider (the merchant of record), all refunds are issued by the Provider through Stripe and are returned to your original payment method. Satex does not hold your funds and does not issue refunds; our support team can help you submit and track a refund request with the Provider.
Cancellation by you. You may cancel or reschedule a scheduled visit without charge if you cancel at least 6 hours before the scheduled appointment time. Cancellations made later than that window (that is, less than 6 hours before the scheduled time) may be subject to a cancellation fee, as disclosed at checkout. Cancelling 6 hours or more before the scheduled time is free; cancelling with less than 6 hours remaining may incur a fee.
No-show. If the Care Team arrives at the agreed location at the scheduled time and you are not present, not reachable, or unable to receive the Services, the visit may be treated as a no-show, and a no-show fee may be charged against the authorized amount, as disclosed at checkout.
Visit cannot be performed. If the Services cannot be performed — for example, because the Provider is unable to attend, or because you are screened out for safety reasons during the medical assessment — no payment is captured and the hold on your card is released, so you pay nothing. If a payment has already been captured, the Provider refunds it in full to your original payment method via Stripe within 5 to 10 business days.
Partial and net refunds. Where a cancellation or no-show fee applies, the Provider retains that fee and releases or refunds the remaining balance to your original payment method via Stripe within 5 to 10 business days, as disclosed at checkout. In a safety screen-out, no fee applies and you pay nothing, as described above.
How refunds are processed. All refunds are issued by the Provider and returned to the original payment method through Stripe within 5 to 10 business days of the refund being issued. The additional time for the refund to appear on your statement depends on your card issuer or bank.

9. Medical Disclaimers
Please read these disclaimers carefully. The same disclaimers appear in the Privacy Policy (Section 12) and on our homepage.
Not for emergencies. The Platform and the Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room.
Wellness only; no disease claims. The Services are intended for general wellness, hydration, and supplementation. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
FDA statement. Statements made on the Platform regarding wellness or supplementation have not been evaluated by the U.S. Food and Drug Administration (FDA).
Not a substitute for professional care. The Services and any information provided through the Platform are not a substitute for professional medical advice, diagnosis, or treatment from your own physician or qualified healthcare provider. Always seek the advice of your physician with any questions about a medical condition.
Individual results vary; no guaranteed result. Outcomes differ from person to person. Individual results vary, and we do not guarantee any specific result, outcome, or benefit.
Subject to assessment; may be declined. All Services are subject to the Provider's medical assessment and may be declined. The Provider determines eligibility, suitability, and dosing.
10. Assumption of Risk; No Guarantee of Results
You understand that IV therapy and related wellness services carry inherent risks, including but not limited to discomfort, bruising, infection at the injection site, and allergic or adverse reactions. As described in Section 4, before any infusion the Provider obtains your informed consent and discusses material risks with you as part of the assessment. By giving informed consent and agreeing to receive the Services, you acknowledge and voluntarily assume these risks. Neither Satex nor the Provider guarantees any particular outcome, benefit, or result.
11. Acceptable Use; Prohibited Conduct
You agree not to:
- use the Platform for any unlawful purpose or in violation of these Terms;
- provide false, misleading, or incomplete health or identity information;
- request or attempt to obtain a specific drug, dosage, or controlled substance contrary to the Provider's clinical judgment;
- resell, redistribute, or commercially exploit the Services or the Platform;
- interfere with, disrupt, probe, or attempt to gain unauthorized access to the Platform or its systems;
- harass, threaten, or endanger the Care Team or any other person;
- use the Platform if you are located outside an available service area or are otherwise ineligible.
We may suspend or terminate your access for any violation of these Terms or for conduct that we reasonably believe is harmful to you, the Care Team, the Provider, other users, or Satex.
12. Intellectual Property
The Platform, including its software, text, graphics, logos, trademarks, and other content (excluding your own content and the Provider's content), is owned by SATEX TECH INC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose, subject to these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform except as permitted by law.
13. Third-Party Services
The Platform relies on third-party services, including Stripe for payment processing. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the acts, omissions, or policies of third parties.
14. Disclaimer of Warranties
Except as expressly stated and to the fullest extent permitted by law, the Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Satex does not warrant that the Platform will be uninterrupted, error-free, or secure. Satex makes no warranty regarding the clinical Services, which are the sole responsibility of the independent licensed Provider.
15. Limitation of Liability
To the fullest extent permitted by law:
- Satex provides only the technology Platform and is not liable for the medical care provided by the independent Provider or Care Team.
- In no event will Satex be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising out of or related to your use of the Platform or the Services.
- Satex's total aggregate liability arising out of or related to these Terms or the Platform will not exceed one hundred U.S. dollars (USD 100). You do not pay fees to Satex; payments for the clinical Services are made to the Provider.
Some jurisdictions do not allow certain limitations. In those jurisdictions, the above limitations apply to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless SATEX TECH INC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or the rights of a third party; or (d) the inaccuracy or incompleteness of information you provide.
17. Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
The parties will attempt to resolve any dispute informally first. Please contact us using the details in Section 19 so we can try to resolve the matter.
Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction and venue there.
18. Changes to These Terms; Acceptance
We may update these Terms from time to time. The current version, with its Effective Date, will be posted on the Platform. Material changes will be communicated as required by law.
Your continued use of the Platform after an update takes effect constitutes acceptance of the updated Terms.
Clickwrap acceptance. You accept these Terms by affirmatively agreeing (for example, by checking a box) at registration and again at checkout when you confirm and pay for a visit. If you do not agree, do not use the Platform.
